Terms of service

Draft document. These terms of service are a placeholder pending legal review. They describe our intended policies but have not been reviewed or approved by counsel. Do not treat this as a binding legal document until the final version is published.

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the Crossmarc Steward platform (the "Service"), operated by Crossmarc, LLC, a Colorado limited liability company ("Crossmarc," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.

2. Accounts

You must be at least 18 years old to create an account. You are responsible for all activity that occurs under your account. Keep your credentials confidential. Notify us immediately at security@steward.crossmarc.com if you suspect unauthorised access.

One person or legal entity may not maintain more than one free trial simultaneously. Accounts created for the purpose of circumventing plan limits may be terminated.

3. Acceptable use

You may use Steward only for lawful purposes. You agree not to:

  • Use the Service to store, transmit, or display content that is unlawful, fraudulent, or violates any applicable law or regulation;
  • Attempt to access accounts or data belonging to other users without authorisation;
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service;
  • Use the Service in any manner that could damage, disable, or impair its operation or servers;
  • Resell, sublicense, or otherwise make the Service available to third parties on a commercial basis without our prior written consent;
  • Use the Service to conduct activities that constitute financial crimes including money laundering or securities fraud.

4. Billing and payment

Paid plans are billed in advance on a monthly or annual basis. Billing is handled by Stripe. By subscribing, you authorise Crossmarc (through Stripe) to charge your payment method on the recurring basis you select.

Free trials are available on Starter and Pro plans. At the end of the trial period your chosen payment method will be charged unless you cancel before the trial expires.

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. We do not issue refunds for partial billing periods, except where required by applicable law.

If a payment fails, we will notify you by email and provide a grace period to update your payment method. Accounts that remain unpaid after the grace period may be suspended.

5. Your content

You retain all ownership of the content you upload to Steward — documents, entity records, notes, and account data. You grant Crossmarc a limited, non-exclusive licence to store and process your content solely for the purpose of providing the Service to you.

You are responsible for ensuring that the content you upload does not violate the intellectual property rights or privacy rights of any third party.

6. Data and privacy

Our use of your personal and financial information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We do not sell your data. We do not use it to train models. We do not display advertising.

7. Disclaimers

No financial advice. Steward is a data organisation and record-keeping tool. Nothing in the Service constitutes financial, investment, tax, or legal advice. We do not make recommendations about any asset, institution, or strategy. You should consult qualified professionals for advice specific to your situation.

Service availability. We strive for high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available" without warranty of any kind, express or implied.

Data accuracy. Account balances and transaction data are pulled from third-party institutions through Plaid. We are not responsible for inaccuracies in data provided by those institutions or by Plaid.

8. Limitation of liability

To the maximum extent permitted by applicable law, Crossmarc's total liability to you for any claims arising from your use of the Service will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.

In no event will Crossmarc be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

9. Termination

You may close your account at any time through the account settings. We may suspend or terminate your account for material breach of these Terms, with notice where practicable.

Upon termination, your access to the Service ceases. Your data will be retained for 30 days to allow export, then permanently deleted as described in our Privacy Policy.

10. Governing law

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-law provisions. Any dispute arising under these Terms will be resolved in the state or federal courts located in Colorado, and you consent to personal jurisdiction in those courts.
